• Workflow audits and assessments
• Custom AI agent development
• Automation implementation for Manufacturing, Healthcare, and Fiduciary industries
• Ongoing support and optimization

Specific services are defined in separate Service Agreements or Statements of Work.

3. Eligibility

Our services are intended for businesses and organizations. You represent that:

• You are at least 18 years old
• You have authority to bind your organization to these Terms
• Your use complies with applicable laws and regulations

4. User Obligations

You agree to:

• Provide accurate information when contacting us or using services
• Maintain confidentiality of any credentials provided
• Notify us immediately of unauthorized access
• Comply with applicable laws, including industry regulations (HIPAA, SEC, FDA, etc.)
• Not misuse our website or services (no hacking, scraping, or harmful activity)

5. Intellectual Property

Our IP

All website content, service methodologies, AI models, code, documentation, and materials remain our exclusive property. You may not:

• Copy, modify, or distribute our proprietary materials
• Reverse engineer our systems or AI agents
• Use our IP for competing services

Client IP

You retain ownership of your business data, workflows, and proprietary information. We claim no ownership of your data.

Work Product

Deliverables created specifically for you (custom AI agents, automation workflows) are transferred to you upon full payment, except:

• Underlying frameworks and reusable components remain our IP
• We may create anonymized case studies with your approval

6. Confidentiality

Both parties agree to:

• Protect confidential information disclosed during engagement
• Use confidential information only for service delivery
• Not disclose to third parties without written consent
• Return or destroy confidential information upon request

For regulated industries, we sign additional NDAs and Business Associate Agreements (BAAs) as required.

7. Data Processing & Privacy

• We process your data per our Privacy Policy and applicable regulations
• For Healthcare projects: We can act as a Business Associate under HIPAA
• For client projects: Separate Data Processing Agreements govern data handling
• We maintain industry-standard security controls

8. Disclaimers & Limitations

Service Disclaimers

Services are provided "AS IS" without warranties, except as specified in Service Agreements. We do not guarantee:

• Specific business outcomes or ROI (though we provide projections)
• Uninterrupted or error-free operation
• Compatibility with all third-party systems

Professional Advice Disclaimer

Our services involve technical automation and AI implementation. We do not provide:

• Legal, financial, or medical advice
• Regulatory compliance consulting (we build systems following compliance best practices but don't act as compliance advisors)
• Guarantees of regulatory approval

You remain responsible for: Regulatory compliance, business decisions, and outcomes from using our solutions.

Limitation of Liability

To the maximum extent permitted by law:

Our liability is limited to: Fees paid for the specific service that caused the claim, for the 12 months preceding the claim.

We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits, data loss, or business interruption
• Third-party actions or force majeure events
• Damages from your misuse of our services

Exceptions: This limitation does not apply to our gross negligence or willful misconduct, data breaches caused by our security failures, or liability that cannot be limited by law.

9. Indemnification

You agree to indemnify us against claims arising from:

• Your violation of these Terms
• Your use of our services in violation of laws
• Your data or content provided to us
• Third-party claims related to your business operations

10. Term & Termination

Website Use

These Terms remain in effect while you use our website. You may stop using the site anytime.

Service Engagements

Governed by separate Service Agreements. Either party may terminate per contract terms.

Effect of Termination

Upon termination:

• Your right to use our services ends immediately
• We'll return or destroy your confidential data per agreement
• Outstanding fees remain due
• Confidentiality obligations survive termination

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

Jurisdiction

Disputes will be resolved in courts of Pune, Maharashtra, India.

Arbitration

All disputes arising from these Terms or services shall be resolved through binding arbitration per the Indian Arbitration and Conciliation Act, 1996, before resorting to litigation. Arbitration shall be conducted in Pune, Maharashtra, with proceedings in English.

Free Audits

• Provided for evaluation purposes only
• No obligation to purchase further services
• Audit findings are confidential and for your use only
• We may anonymize findings for case studies (with approval)

Paid Engagements

• Governed by separate Service Agreements or SOWs
• Payment terms specified in agreements
• Scope changes require written approval

Recurring Services

• Billed monthly/quarterly per agreement
• Either party may cancel with 30 days notice
• Refunds handled per Service Agreement
